By applying to, or participating in, the Great North Bio Affiliate Program (“the Program”), you (“Affiliate”, “you”) agree to these Terms in full. If you do not agree, do not apply and do not use your referral link.

1. Nature of the products

All products supplied by Great North Bio are chemical reference materials sold strictly for in vitro laboratory research use only. They are not drugs, foods, cosmetics, dietary supplements, or medical devices. They are not approved by Health Canada, the FDA, or any comparable authority for human or veterinary use. They are not intended to diagnose, treat, cure, or prevent any disease or condition.

You acknowledge that you have read and understood this, and that it governs everything you are permitted to say about our products.

2. Permitted audience

You may promote Great North Bio products only to:

  • licensed or accredited research laboratories;
  • academic, institutional, or commercial research organisations;
  • qualified research professionals, scientists, and technicians acting in a professional capacity; and
  • persons who are of legal age of majority in their jurisdiction.

You must not promote, market, advertise, or direct our products to:

  • the general public, general-interest audiences, or consumer wellness communities;
  • bodybuilding, fitness, anti-ageing, weight loss, biohacking, longevity, or performance-enhancement audiences;
  • patients, patient groups, or persons seeking treatment for any condition;
  • minors, or any audience that cannot be reasonably restricted to adults;
  • any person you know or reasonably suspect intends to use the products for human or animal consumption.

Where you promote through a channel that cannot be restricted to the audience described above, you must not promote our products through that channel at all.

3. Mandatory disclosures on every promotion

Every post, page, email, video, story, message, advertisement, or other communication in which you promote Great North Bio or use your referral link must include, clearly and legibly, and not hidden behind a link, expandable section, or scroll:

  1. “For laboratory and research use only. Not for human or veterinary use.”
  2. A clear disclosure that you earn a commission on purchases made through your link, in the form required by applicable advertising rules (for example, “affiliate link” or “I earn a commission from purchases made through this link”).

The disclosures must appear in the same medium and language as the promotion, and must be at least as prominent as your commercial message.

4. Prohibited claims and conduct

You must not, in any medium, whether expressly or by implication, suggestion, imagery, testimonial, before-and-after content, anecdote, or hashtag:

  • state or imply that any product treats, cures, prevents, mitigates, or diagnoses any disease, condition, injury, or symptom;
  • state or imply that any product is safe or suitable for human or animal consumption, injection, ingestion, inhalation, or topical application;
  • provide, suggest, or discuss dosages, dosing protocols, cycles, stacks, administration routes, reconstitution for human use, or any similar guidance;
  • describe personal use, or depict or describe any person using a product;
  • use the terms “in vivo”, “clinical”, “patient”, “therapy”, “treatment”, “prescription”, “medicine”, or “supplement” in relation to our products;
  • make claims about purity, potency, testing, sourcing, shipping, or availability beyond what is expressly stated on greatnorthbio.com at the time;
  • offer guarantees, refunds, warranties, delivery promises, or pricing that we have not published;
  • present yourself as an employee, agent, spokesperson, or representative of Great North Bio or QS Group LTD.;
  • register, use, or bid on domain names, social media handles, or business names containing “Great North Bio” or any confusingly similar variation;
  • copy or imitate our website, branding, or email templates in a way likely to cause a person to believe they are dealing with us directly.

5. Prohibited marketing methods

You must not:

  • send unsolicited commercial electronic messages of any kind. If you use email or messaging to promote us, you are solely responsible for compliance with Canada’s Anti-Spam Legislation (CASL), the CAN-SPAM Act, the GDPR and UK GDPR, and every other law applying to you and to your recipients, including obtaining and being able to evidence valid consent;
  • purchase, rent, harvest, scrape, or otherwise acquire contact lists;
  • bid on “Great North Bio”, our product names, our domain, or misspellings of them in any paid search or paid social platform;
  • use cookie stuffing, forced clicks, pop-unders, adware, browser extensions, iframes, redirects, or any method that sets a referral cookie without a deliberate click by the visitor;
  • post your link to coupon, deal, cashback, or voucher aggregator sites without our prior written permission;
  • generate referrals through your own purchases, or through accounts, addresses, or payment methods under your control or the control of your household or business (“self-referral”);
  • use automated traffic, bots, click farms, incentivised traffic, or any artificial means of generating clicks or orders;
  • promote us on any site or channel containing illegal, sexually explicit, hateful, violent, or infringing content;
  • promote us in any jurisdiction where the sale, import, or advertising of research chemicals is restricted or prohibited, and you are responsible for knowing where those restrictions apply to you.

6. Compliance with law

You are responsible, at your own cost, for complying with all laws, regulations, platform policies, and advertising codes applicable to you, to your audience, and to your promotional methods. This includes but is not limited to advertising and consumer protection law, anti-spam law, privacy and data protection law, and any rules governing the advertising of chemicals, health products, or research materials in your jurisdiction and in the jurisdictions you target.

Nothing in these Terms is legal advice to you.

7. Relationship of the parties

You are an independent contractor. Nothing in these Terms creates an employment, partnership, joint venture, franchise, or agency relationship. You have no authority to make any statement, representation, commitment, or warranty on our behalf, and any that you make is made solely by you and at your own risk.

8. Commissions

  • Commission is 20% of the product value of qualifying orders placed through your referral link.
  • Commission is calculated after any discounts or coupons, and excludes shipping charges and taxes.
  • Your referral cookie tracks for 30 days from a visitor’s first click. Where more than one affiliate refers a customer, the referral is credited according to the crediting rule configured in our system at the time of the order.
  • Referrals are held for a 7 day period before becoming payable.
  • Commission on any order that is refunded, charged back, cancelled, or found to be fraudulent is reversed, whether or not it has already been approved.
  • Commission is payable only on completed, paid, non-refunded orders. Orders placed by you or on your behalf do not qualify.
  • Payouts are made by the method and on the schedule shown in your affiliate area. You are responsible for supplying accurate payment details and for all taxes on amounts you receive.

9. Suspension and termination

We may suspend or terminate your participation in the Program, and withhold any commissions that have not yet been paid out, at our sole discretion and without notice, if we reasonably believe you have breached these Terms, misrepresented our products, promoted to a prohibited audience, generated referrals by prohibited means, or brought or risked bringing our business into disrepute or regulatory scrutiny.

Commissions already paid to you will not be reclaimed.

Either party may end the relationship at any time, for any reason, on written notice. On termination you must stop using your referral link, our name, and all creatives within 5 business days.

Commissions accrued at the time of a termination that is not for breach will be paid in the ordinary course.

10. Indemnity

You agree to indemnify, defend, and hold harmless QS Group LTD., Great North Bio, and their directors, officers, and employees against any claim, demand, investigation, penalty, loss, liability, or cost, including reasonable legal fees, arising out of or relating to your promotion of our products, your statements about them, your marketing methods, your handling of any personal information, or your breach of these Terms.

11. No warranty on earnings

We make no representation or guarantee as to the level of earnings, conversion, or traffic you may achieve. Any figures we discuss are illustrative only.

12. Changes to these Terms

We may amend these Terms at any time by posting an updated version. Continued participation in the Program, or continued use of your referral link, after an updated version is posted constitutes acceptance of it. Material changes will be notified to the email address on your affiliate account.

13. Governing law

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable in that province. The parties submit to the exclusive jurisdiction of the courts of British Columbia.

14. Entire agreement and severability

These Terms are the entire agreement between you and us in relation to the Program and supersede any prior discussion. If any provision is found unenforceable, the remainder continues in force.
